Job Summary
The Assistant Corporate Secretarial Manager will play a pivotal role in providing comprehensive corporate secretarial services to our clients. This position requires a strong understanding of Malaysian corporate laws and regulations, excellent organizational skills, and a commitment to delivering high-quality service.
Key Responsibilities
- **Corporate Secretarial Compliance**:
- Ensure compliance with Malaysian corporate laws and regulations, including the Companies Act 2016, Securities Commission Act 1989, and other relevant legislation.
- Prepare and file statutory returns, notices, and forms with the Companies Commission of Malaysia (CCM).
- Maintain accurate and up-to-date corporate records, including minutes of meetings, resolutions, and registers.
- Advise clients on corporate governance best practices.
- **Board and General Meetings**:
- Assist in the preparation and conduct of board meetings, general meetings, and other corporate meetings.
- Prepare meeting agendas, notices, and minutes.
- Ensure proper quorum and voting procedures are followed.
- **Corporate Structuring and Reorganization**:
- Provide advice on corporate restructuring, mergers, acquisitions, and demergers.
- Assist in the preparation of relevant documentation and filings.
- **Secretarial Services**:
- Provide general secretarial services, including maintaining corporate seals, registers, and official documents.
- Manage corporate correspondence and communications.
- **Client Relationship Management**:
- Build and maintain strong relationships with clients.
- Provide timely and accurate advice and support.
Qualifications and Experience
- Bachelor's degree in law, accounting, or a related field.
- Minimum 5 years of experience in corporate secretarial services.
- Strong understanding of Malaysian corporate laws and regulations.
- Excellent organizational and time management skills.
- Attention to detail and accuracy.
- Strong communication and interpersonal skills.
- Proficiency in Microsoft Office Suite.
Desired Skills
- Experience in working with accounting software (e.g., SAP, Oracle).
- Knowledge of corporate governance frameworks and best practices.
- Ability to work independently and as part of a team.
