J RECRUIT FIRM is seeking a skilled Corporate Secretarial Manager to join our team. This role involves providing in-house secretarial services, managing and administering secretarial practices, and ensuring compliance with Companies Act 2016 and other local acts.
Responsibilities- To provide comprehensive company secretarial duties and functions for a group of companies.
- To prepare and attend to various corporate documents, statutory forms, and legal documents.
- To ensure proper maintenance of statutory records and submission of statutory returns.
- To oversee the Company's corporate governance framework and implement best practices.
- Advise the Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
- To coordinate and support other departments in special assignments and corporate exercises.
- Deal and liaise with external auditors during audit reviews.
- Deal and liaise with external company secretaries/lawyers and corporate services providers for overseas legal entities on corporate documents and secretarial matters.
- Negotiating, drafting, and reviewing trade agreements, agreements of all kinds, and other legal documents.
- Collaborate with internal stakeholders and external partners to facilitate the smooth execution of agreements and contracts.
- Ensure compliance with relevant laws and regulations, including international trade laws.
