Legal Counsel

**Corporate Legal Counsel**
- ** Work closely with **ADE Management team, **he General Counsel Legal Practice and other senior stakeholders within the organization;**
- ** Assist with mergers and acquisitions, investments and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration;**
- ** Provide legal advice and assistance to the Company Board and its Committees**
- ** Assist with other special corporate projects;**
- ** Participate in providing proper assessment of the risks associated with ADE’s contracts and agreements in order to ensure that (i) ADE is not exposed to uncontrolled legal risk; and (ii) the right protective legal instruments are used in order to properly hedge against the identified legal risks.**
- ** Draft, review and negotiate ADE agreements, Memorandum of Understanding (MOUs) and templates relating to the Company and coordinate with the General Counsel Legal Practice to ensure alignment.**
- **
Work closely with our internal business and compliance teams, as well as with external advisors and experts;**
- ** Manage projects effectively, with a team-oriented approach; and**
- ** Ability to manage corporate transactions from start to finish.**

**Qualifications**:

- ** 8-10 years of relevant corporate experience at a major law firm;**
- ** A combination of both in-house and law firm practice experience is preferred, primarily in M&A and venture capital or investment transactions;**
- ** Excellent negotiation and drafting skills;**
- ** Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous transactions or projects;**
