Legal Counsel

Role Overview

Gushcloud is seeking an experienced Legal Counsel in our corporate development and capital markets team. The ideal candidate will have 5-8+ years of qualified legal experience, ideally split between law firm and in-house roles, and strong exposure to capital markets, investment transactions and fundraising.

Key Responsibilities

Below are the main duties. You should tailor these to Gushcloud's business model (digital / media / influencer / entertainment / tech) and scale:

Corporate Governance & Board Support

• Advise the Board and senior management on legal, regulatory, and governance matters.
• Organise and document board & shareholders meetings; prepare board resolutions, minutes; maintain statutory registers.
• Ensure compliance with corporate laws.

Capital Markets / Fundraising / Investment

• Support capital raising / equity / debt financing transactions (private placements, IPO / listing if applicable, convertible instruments / structured products).
• Guide investment transactions, joint ventures, acquisitions / divestitures: structuring, negotiation, documentation.
• Assist in drafting and reviewing disclosure documents, prospectuses or offering circulars; ensure compliance with securities regulations.

Contracts, Commercial and Operational Legal Support

• Review, negotiate, draft key commercial contracts: vendor agreements, influencer / content creator agreements, licensing, digital platform/commercial partnerships.
• Manage and oversee external counsel engagements.

Risk Management & Disputes

• Identify and manage legal risk proactively. Provide legal advice in product / business development to avoid downstream legal exposures.
• Handle litigation, arbitration or regulatory investigations (or manage external lawyers who do).

Leadership & Team Management

• Build, develop, and manage legal / compliance teams (if applicable).
• Work cross-functionally with finance, operations, HR, product, marketing to ensure business and legal alignment.

Strategic Projects

• Support expansion into new markets / jurisdictions (including local registration, licenses, regulatory approvals).
• M&A or fundraising strategy.

Required Qualifications & Skills:

Education

Law degree (LLB / JD or equivalent) from a recognized university.

Experience

At least
5-8 years
PQE (post-qualification experience), with substantial exposure to capital markets / investment / securities / fundraising transactions. Ideally experience in both a top-tier law firm and in-house role(s).

Technical Knowledge

Understanding of cross-border securities regulation / disclosure if Gushcloud operates regionally. Experience with drafting and negotiating financing documents, shareholder / investor agreements etc.

Commercial Mindset

Ability to balance legal risk with business growth. Pragmatic advice, not just "no" but "how to do it safely."

Communication & Influencing

Strong communication skills, able to explain complex legal issues in simple business terms. Comfortable advising senior management and board. High level of integrity and ethical judgment.

Project Management

Able to manage multiple matters simultaneously; good organisation; meets deadlines under pressure.

Leadership / Collaboration

Able to lead or manage a legal / compliance team; collaborate across functions; manage external counsel; build trust with business teams.

Nice-to-Have / Preferred

• Experience with IPOs, or having worked on public markets (listing / de-listing).
• International experience, particularly across APAC or the United States
• Experience in tech / digital / media / influencer / content industries.
• Exposure to ESG, sustainability, or data protection / privacy law (beyond basics).
• Prior experience with cross-border transactions, joint ventures.
