Primary Objective:
To provide effective company secretarial services to the Company/shareholders by providing technical and administrative support to Manager/Section Head/Team Leader and doing other duties as assigned by Manager/Section Head/Team Leader.
Key Responsibilities:
- Manage and maintain the Boards'/Board Committees' meetings by preparing/compile meeting books/eBook, communicating meetings' decisions to Management after meetings and drafting minutes of meetings to record decisions made during the meetings.
- Prepare and ensure timely submission of the statutory forms/returns to regulators, in compliance with all relevant statutory requirements (such as the Companies Act, 1965, Financial Services Act 2013, Main Market Listing Requirements of Bursa Malaysia Securities Berhad, etc.).
- Prepare and follow up on circular resolutions and board papers for approval.
- Provide, review and verify corporate secretarial support/information for Annual report/corporate exercises including ensuring accuracy of the information or documents or advice provided and/or compliance with all relevant statutory requirements as well as arrange for certification of statutory registers/records.
- Maintain accurate and uptodate office files including secretarial files. Records and Register Books for all companies under his/her portfolio to make sure files/records/Register Books are easily accessible and uptodate.
- Update/upload/maintain the correct corporate secretariat information to the web portal, as and when necessary.
- Prepare/Provide records/documents to regulators/statutory bodies/auditors/lawyers etc., as and when required.
- Liaise with internal/external stakeholders on corporate secretarial matter and other day to day matter, where relevant.
- Do other secretariat functions as directed by the superior.
- Requirements
Requirements:
Bachelor Degree
- ICSA
- ICSA
- At least 2 years' experience in corporate secretariat
- Knowledge in statutory requirements (such as the Companies Act, 1965, Financial Services Act 2013, Main Market Listing Requirements, etc.).
- Good command of English and Bahasa Malaysia (verbal and written).
