A global logistics company is seeking a Regional Legal Director, APAC. In this job, you will drive legal matters, provide leadership and professional expertise, and ensure compliance with company-wide legal governance across the businesses operating within Asia.
About the Regional Legal Director, APAC Role:
Key areas of work include acting as a strategic legal business partner to senior and key management, delivering effective and practical legal advice and direction in relation to contracts, customers, or projects and managing a team to provide expertise in commercial law, litigation, and corporate governance.
Key Responsibilities:
- Manage legal matters within Asia in relation to all business activities under supervision of the General Counsel and Associate General Counsel and in coordination and collaboration with the Regional CEO/Vice Presidents within Asia
- Act as member of the Asia Management Team, supporting and influencing the strategy
- Raise legal and regulatory considerations at an early stage, and set realistic expectations for timelines and costs, while also providing practical solutions
- Plan, manage and address areas of legal risk and/or compliance on long-term projects
- Assist the business to prevent, navigate, and resolve complex legal issues
- Report to stakeholders, on regular basis or as needed, any updates on applicable laws and regulations that could possibly have an impact on the business
- Lead and develop a regional legal team and put together a succession plan
- Lead legal support on transactions, including major or complex transactions and participate/assist the General Counsel in M&A transactions
- Implement all Corporate Governance policies and guidelines in all subsidiaries and other legal entities within Asia, and coordinate with the Global Corporate Governance team on all corporate files and records of those subsidiaries and legal entities
- Advise on and negotiate material contract matters, including risk assessment, and ensure implementation of company's policies. Report to the Global Legal Director of Commercial Contracts any specific contractual requirements for Asia
- Manage communication and negotiations with several Postal Authorities and other regulatory bodies and associations in Asia in relation to licensing and regulatory laws affecting core business of the company
- Own, manager and support dispute resolution in terms of business issues, potential or actual litigation, maintain up-to-date record of all litigation cases, and generate regular status reports and summaries and share on monthly and quarterly basis or when/as needed
- Research and resolve legal disputes through the analysis of relevant laws, argument development, evidence collection, and legal representation, and draft effective and practical legal opinions accordingly
- Examine the legal issues related to new products and services to ensure legal compliance when launching major initiatives, projects, or products/services in coordination with other legal team members (Global Legal Director of Commercial Contracts, in particular) and business stakeholders
- Effectively manage the relationship with external lawyers
- Manage and control legal expenses and be responsible for budget and legal spend and report accordingly. Ensure optimisation and cost efficiency. Regularly negotiate and update retainer agreements with external lawyers
- Build legal knowledge with key stakeholders and raise awareness around legal's role in supporting the business as well as the risks involved. Prepare and deliver legal and ethics training to function heads and country managers, and ensure all relevant laws and outcomes are understood and obeyed
- Collaborate with the Global and Regional HR teams to support HR on employee related legal issues, and ensure proper implementation of global employment policies
To succeed in this role, you will need to be comfortable establishing strong relationships with key stakeholders critical to success (internally and externally) and be able to work autonomously and in teams across people in different functions.
Key Requirements:
- Law degree from an accredited law school and must be licensed to practice law in the jurisdiction where they work. A master's degree in law from the UK, the US, Canada, or Australia is desired
- Minimum of eight years' PQE experience practising law in a commercial or corporate setting, preferably with experience in the transportation and logistics industry or sector
- In-depth knowledge of laws and regulations of APAC related to commercial transactions, including contract law, corporate law, intellectual property law, employment law, and other related areas
- Strong communication and negotiation skills to effectively advise clients, negotiate contracts, and resolve disputes.
- Excellent verbal and written communication skills in English
