**SPECIFIC KEY RESPONSIBILITIES & ACTIVITIES**

These shall include but not be limited to the following;- Review and qualify general and special conditions contained within client invitations to tender for subsea engineering, procurement, construction, and installation contracts;
- Identify and advise tender teams on steps to mitigate potential contractual and commercial risks;
- Present contractual risk summary to the key stakeholders;
- Attend meetings with prospective clients and major suppliers to negotiate and arrive at acceptable terms and conditions;
- Review and negotiate confidentiality agreements; parent company guarantees and subcontracts;
- Drafting, reviewing, and negotiating terms and conditions of general commercial, frame and service contracts
- Providing guidance to contracts, supply chain and project personnel on contractual wording/risk mitigation and advising on contractual interpretation;
- Review qualifications and subcontract mechanism for invoicing, change orders, payment and unit rates;
- Handling corporate governance and compliance matters, including competition, UK Bribery Act and US FCPA matters;
- Handling and managing dispute resolutions, including mediation, arbitration, and litigation matters, and liaising with external counsel;
- Advising and making recommendations to management team on legal, commercial, and strategic issues;
- Providing company secretarial support for legal entities, including closing of entities and branch offices.

**Key Qualification and Experience**
- Bachelor’s degree in law and called to the Malaysian Bar or other Commonwealth jurisdiction;
- Minimum 10 years of PQE, preferably with both private practice and in-house experience;
- At least 5 years’ experience of offshore/subsea oil and gas contracting, either gained in-house or in reputable law firm;
- Strong commercial acumen, with a solutions-orientated approach, and excellent communication skills, both written and oral;
- Proficient in setting priorities and managing expectations with respect to deliverables and deadlines.
- Self-initiated and able to work independently and with minimum supervision.
