**Job Title: Company Secretary**
**Job Overview**:The Company Secretary plays a pivotal role in ensuring the company's compliance with statutory and regulatory requirements. This position involves providing administrative and governance support to the board of directors and ensuring that the company operates within the legal framework.
**Key Responsibilities**:
**Board Support and Governance**:Organize and prepare notices, agenda, and minutes of board meetings and annual general meetings.
Advise the board on corporate governance matters and ensure compliance with relevant laws and regulations.
Maintain statutory registers and records, including the register of members and directors.
**Legal Compliance**:Keep abreast of changes in relevant legislation and regulations and ensure the company's compliance.
File necessary documents with regulatory authorities, such as the Companies Commission of Malaysia (SSM).
Ensure that the company's activities are conducted in accordance with its constitution and applicable laws.
**Communication and Disclosure**:Facilitate communication between the board, management, and shareholders.
Manage the disclosure of information to regulatory bodies and the public, including the timely filing of annual returns.
**Corporate Secretarial Duties**:Handle the incorporation of new companies and the registration of changes to existing companies.
Maintain and update statutory records, including the company's constitution, shareholders' agreements, and other relevant documents.
**Risk Management**:Advise the board on legal and compliance matters to mitigate potential risks.
Monitor changes in regulations and assess their impact on the company.
**Shareholder Relations**:Manage relationships with shareholders and handle matters related to share transfers, issuance, and buybacks.
Assist in organizing shareholder meetings and ensuring compliance with voting procedures.
**Qualifications and Requirements**:
- A qualified Company Secretary under the Companies Act 2016.
- Membership with the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) is often preferred.
- In-depth knowledge of company law, corporate governance, and regulatory requirements in Malaysia/Singapore
- Strong organizational and communication skills.
- Attention to detail and the ability to work independently.
- Experience in handling board meetings and corporate secretarial functions.
**Salary**: From RM3,000.00 per month
