Act as Brand Ambassador and Legal Associate to support Legal cum Corporate Affairs Manager in the provision of legal advisory services and ensuring effective management of legal and contractual risks.
**Main accountabilities**
**Legal & Policy Compliance (70% of total time spent)**
Assist Legal cum Corporate Affairs Manager and Senior Executive in functional areas of legal and compliance for NECoMAL,inter alia, in drafting, preparing, examining and/or reviewing all legal documents/contracts/agreements for NECoMAL to ensure comprehensive coverage of all legal aspects of NECoMAL’s dealing and in identifying and minimization of NECoMAL exposure to risk and liability. This extends but not limited to commercial agreements, Non-Disclosure Agreement (NDA), teaming and channel partners’ agreements, software related agreements, inter alia, sales and purchase agreements, tenancies and leases, tenders, Mergers & Acquisitions (M&A) and general services.
- Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action will be and/or have been taken.
- Support in providing legal services and interpreting legal information, training and dissemination of appropriate legal materials/ requirements to staff.
- Assist in reviewing and advising local management on legal implications of internal policies and procedures.
- Support in NECoMAL and NEC Group initiatives in monitoring external stakeholders’ business interactions (such as Business Partners/Distributors/Dealers/Vendors/Clients/Government Authorities) on gift-database, donations and collaborate with Finance Department on the payment structure, terms and conditions.
- Assist in developing risk assessments and implement crisis management plans from legal and compliance perspective and to ensure NECoMAL’s (including NEC Group) reputation is maintained.
- Assist Legal cum Corporate Affairs Manager and Senior Executive as Compliance Coordinator for NECoMAL and be the first point of Contact for Business Ethics questions i.e. local Business Ethics Ambassador of NECoMAL.
- Assist in bringing up Business Ethics/Compliance issues through routine briefing session and if necessary, on an urgent basis. Coordinate, together with local management and Regional APAC Legal, the development of high standards in Business Ethics.
- Proactively collaborate with Integrity Hotline, Regional Compliance, Regional APAC Legal in identifying and managing key Business Ethics/Compliance risks.
- Assist in providing input for global Business Ethics SOPs and ensure that all local Business Ethics guidance documents are updated and are reflective of local legislations as well as corporate policies. Be the primary point of contact in responding questions regarding local policies and key monitor for compliance of NEC existing global and local policies.
- Support in ensuring NECoMAL affairs are conducted in accordance with corporate governance requirements with relevant laws such as Companies Act.
- Coordinate or provide Business Ethics training to NECoMAL’s employees.
- Assist in due diligence process of agents/partners.
- Liaise with regulatory bodies on all statutory requirements & compliance standards.
- Liaising with internal and external ISO auditors on ISO audit related matters e.g. ISO audit on Legal Division
- Conduct research on legal issues as and when required.
**Corporate Affairs & General Administration (30% of total time spent)**
- Monitor public opinion (including external stakeholders) regarding NECoMAL, NEC Group and competing organizations on business ethics and legal issues.
- Assist on corporate secretarial
- Assist on confidential records keeping, including maintain a systematic filing system and custodians for all Agreements.
- Ensure all related bills and invoices on legal related matters are checked and verified.
- Plan and coordinate on meetings for legal department, perform minutes taking and prepare reading materials/presentations for meetings.
**Other business assignments**:
- Any ad-hoc tasks and responsibilities assigned by Legal cum Corporate Affairs Manager and Senior Executive
**Degree of independent decision-making**:
Act on decision that impact the Legal Team
- 10% of independent decision can be made by this position
- 90% of decision needs to be jointly rectified by Legal cum Corporate Affairs Manager, Chief Financial Officer and Managing Director.
**Degree of influence on departmental / function / NECoMAL results**:
- Medium degree of influence to Legal Team and Division Heads.
**Communication / Interaction with others internally or externally**:
- Communication and interaction with both internal & external stakeholder of NECoMAL
- Discussions with internal team (e.g.Legal Team) on issues, provide quality inputs, propose constructive feedback and solicit collective agreement to address gaps or process improvement.
