**Job Description**

As this role is crucial to the organization's success, it is essential that the candidate has a proven track record of delivery and experience in governance and compliance. Key responsibilities include:

  • Ensuring Regulatory Compliance: Safeguarding adherence to all relevant laws, regulations, and reporting requirements, such as the Malaysian Code on Corporate Governance.
  • Strengthening Governance Framework: Contributing to the refinement of the company's governance framework, including areas like anti-corruption and ESG initiatives.
  • Identifying and Addressing Gaps: Identifying and closing gaps in policies and procedures, ensuring they align with regulations and support strategic decision-making.
  • Managing Governance Implementation: Assisting in implementing, evaluating, and maintaining the company's governance framework and compliance system.
  • Supporting Reporting: Assisting with the preparation and submission of regulatory and statutory reports.
  • Facilitating Corporate Finance: Providing support on executing corporate finance transactions and related regulatory discussions.
  • Supporting Due Diligence: Contributing to the due diligence process of corporate exercises and ensuring regulatory submissions and announcements are accurate.
  • Maintaining Investor Relations: Assisting with investor relations management activities, including responses to shareholder inquiries.
  • Contributing to Risk Management: Participating in identifying and mitigating risks faced by the company.
  • Maintaining Policy Compliance: Assisting in drafting and updating corporate policies to ensure they remain relevant and aligned with regulations.
  • Flexible and Adaptable: Fulfiling additional duties assigned by the supervisor, such as drafting sections of the annual report and supporting AGM/EGM proceedings.

**The Ideal Candidate**

The ideal Strategic Governance Lead will be confident in leading from the front and responsible for the growth of the company. The candidate must possess the following requirements:

  • Holds a recognized degree in a relevant field, such as finance, law, or business administration. An MBA is a plus.
  • Minimum of 10 years of experience in related areas, ideally in governance, compliance, and corporate governance.
  • Demonstrated familiarity with the Malaysian Code on Corporate Governance and the Malaysian Companies Act 2016. Experience with the Malaysian Securities Commission regulations is a benefit.
  • Strong critical thinking, meticulous attention to detail, and a well-organized approach to tasks. Must be an independent and effective multi-tasker with excellent project management and communication skills.
  • High integrity, self-motivated, adaptable, and a strong team player.
