Executive Leader | Group Corporate Secretary

Job Summary
We are seeking a highly skilled Senior Executive/ Assistant Manager to join our team as a Group Company Secretary. The successful candidate will be responsible for ensuring compliance with all company secretarial matters under the Companies Act 2016 and other related legislations.
About the Role
The primary function of this role is to provide expert advice on corporate governance practices, ensure timely preparation and review of annual statutory documents, and handle Boards and Shareholder matters. Additionally, the candidate will be responsible for implementing best corporate governance practices within the organization and the Group of companies.
Key Responsibilities
- Compliance Management: Prepare and review annual statutory documents, maintain up-to-date records, and liaise with relevant authorities and stakeholders.
- Boards and Shareholder Matters: Handle Boards and Shareholder matters, including organizing meetings, circulating agendas, recording minutes, drafting resolutions, and preparing board papers.
- Corporate Governance: Implement best corporate governance practices, including internal governance processes, structure, and framework.
- Team Collaboration: Work collaboratively with teams across departments on various projects and initiatives, including compliances, governance, digitalization, risk management, corporate integrity, and ethics.
Requirements
To be considered for this role, you must possess an ICSA qualification or a related field with at least 5 years of experience in corporate secretarial practice or in-house company secretarial division. Prior work experience in public listed companies and/or multi-national organizations is an added advantage.
Desirable Skills and Qualifications
- Exposure to company secretarial software, tools, board portals, Artificial Intelligence tools, and systems.
- Experience in organizing in-house group trainings for Directors, Management, and Staff.
- Conversant with the requirements and provisions of the Companies Act 2016 and other relevant laws and regulations.
- Able to work independently with minimal supervision.
- Digitally forward and technology savvy.
- Meticulous with strong sense of responsibility.
- Good inter-personal skills, pro-active, and cheerful personality.
- Trustworthy, reliable, and high integrity.
