Legal Manager

**Job Summary**:
We are seeking an experienced and strategic Legal Manager to lead and manage all legal affairs for a diversified holdings company with subsidiaries operating in the F&B, energy services, digital services, and oil & gas industries. The Legal Manager will be responsible for providing expert legal guidance, managing legal risks, ensuring regulatory compliance, and supporting business operations and transactions across the Group.
**Key Responsibilities**:
1. Legal Advisory & Compliance
- Provide accurate and timely legal advice on a wide range of matters including corporate, commercial, employment, IP, and regulatory law.
- Ensure the Group and all subsidiaries comply with applicable laws, regulations, and industry standards across jurisdictions.
- Monitor changes in legislation relevant to the Group’s operations and recommend proactive strategies.
2. Contract Management
- Draft, review, and negotiate a variety of contracts, including joint ventures, supply agreements, NDAs, franchise agreements, service agreements, and licensing arrangements.
- Establish standard templates and legal frameworks for contracts used across business units.
3. Corporate Governance
- Manage corporate secretarial functions including board resolutions, annual filings, and shareholder communications.
- Ensure proper governance practices are implemented across all subsidiaries in line with holding company policies.
4. Dispute Resolution & Risk Management
- Handle pre-litigation and litigation matters in coordination with external counsel.
- Identify and assess legal risks in business strategies and advise management on risk mitigation.
5. M&A and Investment Activities
- Support legal due diligence and documentation for M&A, joint ventures, and investment opportunities.
- Collaborate with finance and business development teams during strategic transactions.
6. Stakeholder Management
- Liaise with external law firms, regulators, and business partners.
- Educate and train internal stakeholders on legal and compliance issues.
**Requirements**:
- Bachelor’s Degree in Law (LLB); admitted to practice in relevant jurisdiction.
- Minimum 8 years of legal experience, including in-house counsel experience, preferably in a diversified group or multinational company.
- Strong understanding of corporate and commercial law, with exposure to sectors such as F&B, energy, digital, and oil & gas.
- Proven experience in contract negotiation, regulatory compliance, and corporate governance.
- Excellent analytical, communication, and leadership skills.
- Ability to manage multiple priorities in a dynamic business environment.
**Job Types**: Full-time, Permanent
Pay: RM8,000.00 - RM14,000.00 per month
