Corporate Associate

You will report directly to **Shawn Ho**, head of the corporate & commercial practice group. You will work with our team of experienced lawyers to provide legal services to our clients across a range of corporate and commercial matters.

**Responsibilities**:

- Draft and review corporate and commercial agreements, including shareholders agreements, joint venture agreements, and licensing agreements
- Conduct legal research and analysis on various corporate and commercial issues (on a wide range of industries, analyzing unique/disruptive business models)
- Assist with corporate transactions, including mergers and acquisitions of private non-listed companies, and corporate restructurings, private VC fundraising exercises involving preference shares, SAFEs, convertible notes and debt instruments
- Provide advice, guidance and interact directly with clients on various corporate and commercial issues. Exposure to a wide portfolio of clients, from startups to SMEs to MNCs.
- Assist with the preparation of legal opinions and advice on various corporate and commercial matters

**Key Requirements**
- PQE 1 - 4 years of relevant experience in a corporate law firm or in-house legal department.
- **Must** have continuous experience in corporate & commercial advisory and M&A transactions.
- Strong drafting and communication skills
- Must have keen interest to develop skills and knowledge in corporate practice.
- Strong command of English, with the ability to write concisely and with clarity.
- Excellent analytical and research skills
- Versatility and awareness in handling different types of personalities and situations
- Open minded and a strong 'learner's attitude'
- Ability to work independently and as part of a team
- Strong attention to detail and organizational skills
