Legal Counsel

This individual is responsible for the effective and efficient support to Legal & Risk Management matters in Asia Pacific Region. Support the enhancement on group governance and strengthen compliance/risk management system to strongly support OMRON's businesses and challenge for a better society.

**Key Roles and Responsibilities**
- **Legal Support**
- Review and draft contracts and other legal documents (Distributorship Agreement, Purchase Agreement, NDA, legal notice and others), and negotiate with the other party as needed.
- Research laws & regulations in Asia Pacific Region, including India, Indonesia, Vietnam, Thailand, Malaysia, Singapore, Myanmar, Bangladesh, Australia and New Zealand, excluding China, Korea and Japan (“APAC”), and provide legal advice in consultation with external law firms case by case.
- Prepare contract formats and guides in response to common practice or demand in each business unit or country, and establish and maintain Legal Database for APAC.
- Support managing and solving litigations and disputes in cooperation with external law firms
- **Compliance & Risk Management Support**
- Support investigation on reports from whistle-blowers and other major misconducts by employees.
- Support establishment of system for compliance with Personal Data Protection acts.
- Prepare and execute training regarding risk management & compliance, such as ethical conduct, anti-fraud, anti-cartel, anti-corruption and contract management.
- Draft and arrange guidelines, checklists and forms related to risk management & compliance.
- Support Risk Analysis and Business Continuity Plans for all entities in APAC.
- Support updates of various risks, including revision of laws and regulations in APAC, and provide the latest information to group companies.
- Support annual meetings for Risk Managers from each business unit.
- **Project Support**
- Support various projects from the viewpoints of risk management & legal, including PMI, start-up of new business, alliance, establishment of legal entities and governance project.
- **Other job functions**
- Join and contribute to Global Legal/Risk Management Projects for whole OMRON Group which HQ in Japan leads internationally.
- Fulfill main roles for dispute solution, operation of whistle-blower system, editing Risk News, risk analysis and planning Risk Manager Meetings.
- Support operating the system of Export Control.
- Discover autonomously root causes of problems regarding governance, risk management & compliance, and proactively solve the problems in cooperation with other departments.
- Project Management in APAC as an administrator or PJ leader.
- Creating innovation in the field of risk management & compliance through IT, AI, Gamification, Behavior Economics, etc.

**Requirements**:

- Degree in Law
- Call to the Bar
- Certification of Certified Internal Auditor, Accountant or Certified Fraud Examiner
- Totally over 3 years of experience in law firm, legal department or other firm, institution or department handling risk management, including Accounting Firm and HR, IP or Audit Department
- Full experience of drafting contracts, rules, legal opinions, notice letters and/or other formal documents
- Experience of due diligence or internal investigation to misconducts
- Experience of dispute solution, such as litigation and customer complaint
- Logical thinking and writing
- In-depth knowledge and understanding of laws/regulations or system of compliance, risk management or governance
- Skills for internal investigation or assessment, including interview to employees
- High integrity
- International view and way of thinking
- Full curiosity about wide range of experiences, including support to varied business and risk management activities
