The Legal & Governance Executive provides professional support across legal contract management, company secretarial tasks, and the administration of Zakat, Wakalah, and Yayasan functions. This role ensures the Group's legal integrity, statutory compliance, and adherence to its Shariah-compliant and ethical commitments through diligent administration and precise documentation.

Key Responsibilities:

Legal Contract Management

  • Draft, review, and vet a variety of contracts, including NDAs, service contract management, and tenancy agreements under supervision.
  • Maintain and meticulously monitor the Contract Register, tracking key dates, obligations, and renewals to prevent lapses.
  • Liaise with external legal counsel on specific matters as directed by the Head of Department.
  • Ensure all executed contracts are properly filed in the centralized repository.

Company Secretarial Support

  • Assist the Head of Department in preparing board and shareholder meeting papers, resolutions, and minutes.
  • Maintain statutory registers and records in full compliance with the Companies Act 2016.
  • Support the timely and accurate filing of annual returns, financial statements, and other statutory documents with SSM.

Zakat, Wakalah & Yayasan Administration

  • Manage the end-to-end process of the Group's zakat calculation, documentation, and submission to the respective authorities.
  • Administer wakalah zakat utilization in accordance with approved guidelines, ensuring full documentation and reporting.
  • Provide comprehensive secretarial support for the Yayasan, including meeting coordination, minute-taking, and maintaining all governance findings.

Qualifications / Experience:

  • Bachelor's Degree in Law, Legal Studies or a related field. A qualified Company Secretary (SAICSA) is a strong advantage.
  • Minimum of 3 to 4 years experience in a Legal, company secretarial or governance role.
  • Strong understanding of the Companies Act 2016.
  • Experience in zakat administration or foundation governance is highly desirable.
  • Meticulous attention to detail, exceptional organizational skills and the ability to manage multiple deadlines.
