Designation: Junior Corporate Lawyer (Due Diligence & Transactions)

Position Overview

The Junior Corporate Lawyer will assist the firm's Corporate & Commercial Practice in handling legal documentation, due diligence exercises, and transactional matters for both local and cross-border clients. The role is ideal for a motivated lawyer with a solid grounding in corporate law and a keen interest in Malaysia's capital markets, mergers and acquisitions (M&A), and regulatory compliance work.

Key Responsibilities

  • Conduct legal due diligence on companies and business entities, including reviewing corporate documents, licences, contracts, and litigation searches.
  • Assist in preparing and reviewing transactional documents, including share sale agreements, subscription agreements, shareholders' agreements, joint venture agreements, and other corporate instruments.
  • Support partners and senior associates in drafting legal opinions, due diligence reports, and submissions to regulatory authorities such as SSM, SC, Bursa Malaysia, and Labuan FSA.
  • Coordinate with clients, auditors, company secretaries, and regulatory bodies to collect and verify documentation and information.
  • Participate in corporate structuring exercises, IPO readiness assessments, and compliance reviews.
  • Assist in closing transactions, preparing completion checklists, and ensuring post-completion filings and updates are properly carried out.
  • Conduct legal and regulatory research and maintain updates on corporate and securities law developments.
  • Support firm-wide initiatives including internal knowledge management, precedent library maintenance, and client updates.

Qualifications & Requirements

  • Bachelor of Laws (LL.B) degree from a recognised university; Certificate in Legal Practice (CLP) or equivalent qualification.
  • Called to the Malaysian Bar, or pending admission (for pupillage-to-hire candidates).
  • 1–3 years of post-qualification experience, preferably in corporate and commercial law practice.
  • Prior experience in legal due diligence (for IPOs, M&A, or investment transactions) will be a strong advantage.
  • Good command of English (both written and spoken); proficiency in Mandarin or Malay will be an added advantage.
  • Detail-oriented, analytical, and able to handle multiple projects under tight timelines.
  • Strong teamwork, initiative, and professional work ethic.

Job Types: Full-time, Permanent

Pay: RM4, RM6,000.00 per month
