The BOD will delegate responsibility for management and day-to-day operations to the CEO, and the CEO has the authority to carry out these responsibilities in accordance with the direction, policies and procedures established by the BOD. The CEO provides direction and information to the BOD as it carries out its governance functions. Specific **Responsibilities**: 1.Creating, communicating, and implementing the organization's vision, mission, and overall direction. Leading the development and implementation of the overall organization's strategy. 2.Leading, guiding, directing, and evaluating the work of other executive leaders including the Plantation Director ("PD”), Chief Operating Officer ("COO'g, Chief Financial Officer ("CFO'g, and management team. In the process of leading these senior leaders, the CEO makes certain that the strategic direction of the organization filters down through the organization to ensure its achievement. 3.Soliciting advice and guidance, when appropriate, from the BOD. 4.Formulating and implementing the strategic plan that guides the direction of the business or organization. Assuring that the plan creation involves significant input from the organization so that there is little pushback regarding implementation. 5.Overseeing the complete operation of an organization in accordance with the direction established in the strategic plans and in accordance to the BOD‘s instruction and decisions. This includes the design of the organization in a manner that facilitates and supports the operations. 6.Evaluating the success of the organization in reaching its goals. Making sure that each strategic goal is measurable or that the outcomes can be described in a way that an agreed upon picture is shared by the team. 7.Looking at potential acquisitions or disposals that will enhance shareholder value. 8.Assure all legal and regulatory documents are filed and monitor compliance with laws and regulations. 9.Oversee the Company’s fiscal activity, including budgeting, reporting and auditing. 10.Representing the organization for civic and professional association responsibilities and activities in the local community, the state, and at the national level. Other senior leaders bear responsibility for these ventures as the CEO sees fit. 11.Attending engagements with various stakeholders particularly the Prime Minister's Office ("PMO”), the parent company, Khazanah Nasional and government-linked investment companies ("GLICs”) and government-linked companies ("GLCs”) meetings. 12.To fulfil all obligations and expectations of a government-linked company ("GLC”) and complying with all key performance indicators ("KPIs”) as may be determined by the Authorities and Government. 13.Participating in industry-related events or associations that will enhance the CEO‘s leadership skills, the organization's reputation, and organization's potential for success particularly those relevant to the industry/Company's business. 14.Build alliances and partnerships with other organizations for the benefit of the organization. 15.Demonstrating the leadership necessary to make the organization's mission a success. This leadership includes providing leadership vision, leadership that attracts followers, and all other aspects of successful leadership. 16.Creating a learning organization that will continue to grow and flourish and enhance the skills and abilities of employees.
