Join us as Legal Counsel and Country Corporate Counsel (Malaysia, Philippines, and Thailand) for the Motion Business Area. This is a senior legal counsel role reporting to the APAC Region General Counsel, Motion and has dual responsibility to serve as the Country Corporate Counsel for ABB Malaysia and secondly as the legal counsel supporting the Motion business area in Philippines and Thailand. In the former you will be responsible for ABB Malaysia’s legal obligations and work closely with the country’s management team and board to ensure that the local ABB entity complies with its fiduciary obligation. As Legal Counsel you will be working directly with internal clients and external parties for ABB’s Motion Business Area. This Position will be based in Subang Jaya, Malaysia.

**Your responsibilities**:

- Providing legal advice and counsel to ABB management across a broad range of legal issues, with specialized skills in corporate law, as well as managing dispute and litigation matters as directed. The role also covers the corporate and business functions in Malaysia and covers the business function only in Philippines and Thailand
- Assisting with negotiation and risk assessment of frame agreements, contracts, partnerships, and other contractual terms in collaboration with Region/Country Legal/Integrity Manager and relevant business stakeholders. Supporting project execution from a contract perspective as well as on general legal related issues, including legal support on managing claims, dispute, litigation, or arbitration matters in the most cost-effective manner
- Creating legal forms and best practice. Working with the business teams to develop legal templates and processes for new business and commercial models and providing legal & integrity training and awareness for employees in the relevant business
- Anticipating and identifying legal issues of concern to management and proactively developing effective legal strategies and practical solutions
- Ensuring good corporate governance in accountability at region and country level, supporting implementation of the code of conduct and on-going integrity training and assisting in investigation and resolution of any integrity issues that arise
- Contributing to the development and implementation of new corporate policies/instructions based on local legislation and directives. Assisting with the implementation of both local and corporate legal and integrity policies and instructions and monitor on-going integrity matters
- Supporting the fiduciary obligations of the ABB entities in Malaysia and supervising all corporate governance and board activities, including liaising with corporate regulators
- Managing and liaising with external service providers, including external legal counsel, ensuring that all external advice is provided in a cost-effective way

**Your background**:

- Bachelor’s degree in Law from a reputable law school is required, with eligibility to practice law in Malaysia with more than 10 years of post-qualification experience either in-house or in private practice preferably with experience within the EPC, oil gas, technology, or energy industries
- Demonstrated experience in the provision of legal support in countries of responsibility and generally within the APAC region and regulatory or administrative law experience, preferably antitrust and trade compliance, as well as experience dealing with both common law and civil law issues
- A collaborative, solution-focused approach with excellent written and verbal communication and a demonstrated ability to appropriately advocate legal and commercial positions
- An individual who has strong communication skills and capabilities to manage legal and compliance issues in multiple jurisdiction and diversified background
- Hands-on experience in drafting and negotiating both domestic and international commercial agreements (including, but not limited to, product sales contracts, distribution agreements, supply chain contracts, Joint Venture, and consortium agreements) and complex transaction agreements
- Negotiate contracts with international parties, and agreements involving government authorities and enforcement agencies as well as command of international commercial and corporation law, including working knowledge of key international conventions as well as public procurement and antitrust law
