Legal Counsel

Strategic Legal Advisory & Risk Leadership

• Serve as a trusted legal advisor to the board and executive leadership, offering strategic counsel on labour law, cross-border partnerships, international ventures, and corporate finance.
• Lead the development of operational, investment, and stakeholder strategies with legal foresight and commercial acumen.
• Design and enforce internal governance frameworks, ensuring compliance with applicable laws and alignment with business objectives.
• Oversee legal risk assessments for strategic decisions, applying sound judgement and proactive mitigation techniques.
• Represent the organisation in high-level negotiations and regulatory engagements, fostering trusted relationships with external counsel, regulators, and public authorities.
• Lead the drafting, negotiation, and execution of complex contracts and legal documentation, safeguarding the organisation's interests.
• Champion a culture of integrity, discretion, and accountability across all legal functions.
• Stay ahead of legislative and regulatory developments, advising on implications and implementation.

Corporate Secretarial & Regulatory Oversight

• Provide legal oversight for multiple entities under the group's management, including offshore trusts and companies.
• Lead global company secretarial functions, including board governance, entity maintenance, and trust administration. Preparation of board minutes and arrangements for companies and trusts.
• Ensure compliance with Economic Substance, AML, and CRS regulations across Singapore, Hong Kong, Luxembourg, Switzerland, BVI, Bahamas, Bermuda, and Guernsey.
• Coordinate with external service providers and internal teams to maintain full legal and compliance standing across jurisdictions.
• Oversee legal documentation and corporate records across the group structure, ensuring consistency and legal integrity.

Transaction Leadership

• Lead legal support for investment transactions including private equity directs, fund investments, and real estate deals.
• Partner with investment teams across the full deal lifecycle — from structuring and due diligence to execution and divestment.
• Independently manage legal components of transactions, including term sheet negotiation, definitive agreements, and coordination with external counsel.

Compliance Frameworks & Policy Stewardship

• Own and maintain key compliance frameworks and deliverables, including:

• Data Protection Training Slides

• Data Sharing Policies
• Data Sharing Training Slides
• Due Diligence Policies and Checklist
• Internal Audit Checklist
• CSR Policies
• ESG Policies
• Ensure frameworks remain current, relevant, and effectively implemented across departments.
• Design and deliver training programmes to build internal legal literacy and policy adherence.

Requirements and skills:

• Proven experience as a Legal Counsel in the business environment, with strong banking and finance knowledge.
• Minimum 10 years legal practice or general counsel experience.
• Excellent knowledge and understanding of corporate law and procedures.
• Full comprehension of the influences of the external environment of a corporation.
• Demonstrated ability to create legal defensive or proactive strategies.
• High degree of professional ethics and integrity.
• Sound judgment and ability to analyse situations and information.
• Outstanding communication skills.
• BSc degree in Law or J.D. degree.
• MA or BSc in Business Administration will be considered an advantage.

Additional Information:

• Applicant must be willing to work in our KL Office (KLCC) or JB Office (Mount Austin Perdana).
• Candidates will undergo min. 2 rounds of interviews with some pre-employment assessment tests as part of the recruitment procedure.
• Kindly note that all new hires will be offered yearly renewable employment contract.
