The Manager, Company Secretary reports to the Head, Company Secretary.

Responsibilities
  • Assist Head of Company Secretary in providing corporate secretarial services and support to Gentari group of companies.
  • Preparation of corporate secretarial documents including but not limited to resolutions, minutes of meetings, board papers, announcements, and statutory documents.
  • Ensure regulatory compliance with relevant authorities i.e. Suruhanjaya Syarikat Malaysia (SSM), Bursa Malaysia, Securities Commissions etc. Exposure to international corporate regulations is an advantage.
  • Ensure timely accurate lodgment and submission of statutory documents to relevant authorities i.e. SSM etc.
  • Assist in preparation of Board/Board Committee Meeting, Annual General Meeting (AGM) / Extraordinary General Meeting (EGM), Board Retreat.
  • Compilation of Board papers for approval of the Board and Board Committees.
  • Liaison with internal stakeholders i.e. Legal, Business Verticals, Finance etc., to provide support, including but not limited to, drafting out preliminary review of resolutions, board papers, agreements, and statutory forms.
  • Provide corporate secretarial assistance to Head of Company Secretary in special projects i.e. corporate exercise, restructuring, acquisitions, disposals, takeovers, listings, investigations, liquidations, and any other relevant corporate secretarial related matters.
Qualifications & Skills
  • Licensed Secretary by SSM, or qualified Company Secretary by MAICSA, MACS, ACIS etc.
  • Minimum 6 years' experience in corporate secretarial practice. Exposure in public listed companies is an advantage.
  • Proficient in both written and spoken English and ability to communicate effectively.
  • Good interpersonal, organizational, communication, and time management skills. Ability to interact professionally at all levels.
  • Hardworking, positive attitude, able to work independently with minimum supervision.
  • Pro-active, confident, team player with a strong sense of responsibility, high standards of integrity and possess the drive for self-development.
