Key Responsibilities:

Corporate Governance:

  • Assist in ensuring compliance with the Companies Act and other relevant legislation.
  • Prepare and file statutory documents with regulatory authorities (e.g., annual returns, financial statements, and changes in company details).
  • Maintain and update statutory registers and records for client.

Board and Committee Support:

  • Assist in organizing and preparing agendas, minutes, and resolutions for board and committee meetings.
  • Ensure timely distribution of meeting materials and follow-up on action points.

Compliance Management:

  • Monitor and track compliance deadlines for clients, ensuring timely submissions and adherence to regulatory requirements.
  • Provide guidance to clients on corporate governance best practices.

Client Relationship Management:

  • Act as a point of contact for clients, addressing queries and providing professional advice on company secretarial matters.
  • Build and maintain strong relationships with clients to ensure satisfaction and retention.

Documentation and Record-Keeping:

  • Draft and review legal documents, including resolutions, agreements, and contracts.
  • Maintain accurate and up-to-date electronic and physical filing systems for client records.

Advisory Support:

  • Assist in providing company secretarial advice to clients on corporate restructuring, mergers, and acquisitions.
  • Stay updated on changes in legislation and regulatory requirements affecting clients.

Qualifications and Skills:

  • Professional qualification in Company Secretarial practice (e.g., ICSA, CS) or equivalent.
  • Bachelor's degree in Corporate Administration, or a related field is preferred.
  • Proven experience in a company secretarial role or similar position.
  • Strong knowledge of corporate governance, company law, and regulatory compliance.
  • Excellent organizational, communication, and interpersonal skills.
  • Proficiency in company secretarial software and Microsoft Office Suite.
  • Ability to work independently and as part of a team in a fast-paced environment.
