**REPORTING TO: Senior Business Controls Manager**

**ROLE SUMMARY**

**PURPOSE STATEMENT**:
The role works closely with BAT Management to assist with the design and effective operation of internal controls across financial & non-financial reporting, compliance, and operational areas.

The role covers Internal control design activity for both Business as Usual (BAU) and Project or Programme related control changes (e.g. changes to business processes, IT systems and / or 3rd party service providers) as well as Internal control assurance activity for both ICFR (SOx) and broader areas.

Additionally, the role provides Internal Controls expertise, advice and guidance and promotes an awareness of risk management and control across the BAT Group.

**ACCOUNTABILITIES**

**Controls assurance - SOx**
- Maintain BAT’s SOx programme methodology and ensuring it remains up to date with best practice (SEC, PCAOB and Big Four guidelines).
- Lead the planning, scoping and risk assessment for BAT’s global SOx programme.
- Lead the execution of Management SOx testing across key business processes, functions and geographies.
- Business partner with senior management from across BAT to support remediation of control issues, including designing practical and proportionate solutions to remediate deficiencies or gaps in control.
- Prepare concise, relevant reporting of status, results and key findings for BAT Management and Governance forums inc. SOx Steerco, Business unit risk committees, Regional Finance Leadership Teams, Disclosure Committee, Regional and Plc Audit Committees.
- Maintain on-going communication with BAT’s external auditors including alignment on controls audit planning, walkthroughs/testing, audit requests, and deficiency evaluation.
- Controls assurance - other
- Lead internal controls monitoring & assurance across ICFR and other risk domains through the management controls self-assessment (Control Navigator), the year-end management internal controls sign off (ICSO) and the immediately reportable incidents process (IRIs).
- Manage the monitoring and resolution of all reported control issues and identified actions.
- Lead incident reviews, including root cause analysis and assessing the adequacy of actions to address identified control issues or gaps.
- Align assurance activities with other 2LD and 3LD assurance providers (e.g. various compliance teams, Cyber, Security, Internal Audit)
- Controls framework
- Review and update BAT’s internal control framework and assurance model by interpreting new or evolving regulation (e.g. SEC, FRC, UK Corporate Governance Code), taking stock of implementation guidance and regular consultation with 3rd parties on best practice e.g. Big 4, FTSE or Fortune 500 peers.

**Controls advisory**
- Provide internal controls design expertise to support business process, system or service organisation changes including:

- Develop and deliver controls training.
- Develop controls templates / guidance including control operating procedures and documentation standards and embed these across the business.
- Work with BAT management to ensure controls are embedded.

**Business partnering**
- Build and maintain good working relationships with management (e.g. Business unit FDs & Controllers), including regular progress meetings with key stakeholders and ensuring any problems or requests are dealt with promptly.

**People management**
- Line management responsibility for Business Controls Senior Analysts and Analysts on BAU work and Project Team management responsibility for individual assignments

**EXPERIENCE, SKILLS, KNOWLEDGE**
- Degree educated with a relevant professional qualification e.g. ACA, ACCA, CIA, CISA and 5+ years PQE;
- Strong risk and controls experience including in a SOx environment - either via professional services (Big Four - external audit, advisory) or working within the internal controls team at a global multi-national SEC registrant (ideally FMCG);
- High level of knowledge of US and UK internal control requirements for a global group, including SEC SOx requirements and best practices.
- Good knowledge of transactional finance processes, accounting standards and financial reporting requirements (IFRS) relevant to BAT.
- Experience engaging with external auditors
- Good awareness of current and evolving controls regulations, accounting principles and industry standards - with emphasis with UK and US regulations (e.g. UK Corporate Governance Code, ESG, Cybersecurity)
