Legal Counsel, Compliance and Data Protection

Bandar Sunway, Malaysia Bollore Logistics Asia Pacific Full time

Provide support to the organization with focus a on Legal, Compliance, and Claims. To be a Business Partner for the Management and Business Units. To also conduct periodical training and awareness sessions with the relevant internal stakeholders on legal, compliance, and claims topics.

**KEY ACCOUNTABILITIES**

**Legal**

In cooperation with the Regional / South East Asia Legal team and with the assistance of external counsels if needed, assist the organization with all legal matters, in the following areas:
1) Corporate governance: Handling of corporate secretarial duties, by coordinating with finance managers, external corporate secretary or law firms as well as BTL Corporate Legal Department and the Group Securities Department.

2) Contract review: Reviewing, negotiating and drafting commercial contracts (freight forwarding and logistics services, agency, tenancy, tenders, etc.).

3) Legal disputes: Handle all litigation and claims involving law firms and recovery agents. Oversee all other claims. Work with external law firms for external legal opinions on specific matters.

4) General legal advice: Identifying, evaluating and managing legal risks in business decisions and operations by keeping abreast of relevant regulations.

5) Legal repository: The legal software GaLexy should be timely updated with relevant information and documents for all above matters.

**Compliance and Data Protection**

Undertake the role of Compliance and Data Protection Officer for the organization. To oversee and/or implement policies to be in line with HQ/Regional Compliance’s guidelines and local regulatory requirements, based on the following areas:
1) Anti-Bribery and Anti-Corruption: organizing monthly committees, giving trainings, reviewing risk mapping, implementing action plans, performing third-party screenings, as well as investigating whistleblowing alerts if need be.

2) Trade and International Sanctions: assisting internal stakeholders to clear shipments in compliance with applicable embargoes and sectoral sanctions, whether on a spot basis or via the Transport Management System compliance module.

3) Privacy and Data Protection: acting as the Data Privacy Officer for the organization and implementing the internal procedures, reviewing and analyzing relevant documents in conjunction with the Information Security Officers.

4) Anti-competitive practices and cartels: keep abreast of local developments, organize awareness sessions and give advice as necessary.

5) Compliance trainings: Conduct relevant compliance trainings for the organization.

**Insurance**

In cooperation with the Regional Insurance and Claims Officer, oversee the following insurance-related matters:
1) Claims handling and declaration to the group insurance broker.

2) Follow up on local insurance policies.

3) Assist in the development of marine cargo insurance.

4) Closely monitor the life cycle of all claims and ensure that there is no issue with time bar.

**Relationship with the Organization**

1) Ensure and monitor the organization’s compliance with Bollore’s Code of Conduct.

2) Ensure the organization’s understanding and implementation of Bollore’s Value in daily work behaviours.

3) Ensure all changes in legal, compliance and claims matters are communicated properly to the organization.

4) Work closely with the Regional and/or HQ office for legal and compliance matters.

5) Handle any other duties (whether legal, compliance, insurance or otherwise) as assigned.

**Requirements**:
**QUALIFICATION AND EXPERIENCE**
- Bachelor’s Degree in law from recognized law institutions
- 3-5 years of relevant experience in law firm or in-house (preference in maritime, logistics, insurance, or trading industry in multinational companies)
- Knowledge of general contract law, international business law, maritime law, dispute resolution and insurance law
- Knowledge of corporate governance and corporate secretarial matters
- Good drafting and negotiation skills
- Organization skills with ability to monitor follow-through
- Ability to navigate legal and regulatory landscape
- Good Legal research skills
- Team player with commitment and drive to succeed in an enterprising corporate environment
