Company Secretary

Job Responsibilities:
- Manage and oversee the support services of company secretarial, legal and corporate matters. Provide proficient strategic support and first line of advice to key management staff and Board of Directors on matters relating to the conduct of the Company’s businesses and ensure that the Company fulfils its obligations to its shareholders within the framework of the Companies Act, corporate governance, listing requirements and all other relevant Malaysian laws. Draft, review and comment on contracts, minutes of meetings and ensure legal, company and filing are met in a timely and accurate manner.
1. Provide first line legal advice/ solution mainly on corporate matter, contract, litigation, some aspects of employment law, corporate governance and other relevant laws in order for the businesses to achieve their goals.
2. Responsible for legal, company and stock exchange filing in a timely and accurate manner.
4. Draft, review and comment on contracts, minutes of meetings and other deeds.
5. Advice businesses on both external and internal compliance.
6. Undertake annual corporate governance review and draft corporate governance report and overview statement.
7. Maintain relationship with external legal counsel(s) and provide in-house liaison where necessary or appropriate.
8. Minute Board meetings including some committees.
9. Manage and oversee of company secretarial, legal and corporate matters.
10. To adhere to Safety, Health & Environment procedures in all aspects of work.
11. To adhere to quality management requirements such as ISO, Total Quality Management, 5S, QPP, Poka Yoke and other company implemented quality standards.
12. To carry out any other duties and responsibilities assigned from time to time by the superiors.
Qualifications & Experience:
2. Minimum of 8 years of relevant working experiences.
3. In-depth knowledge of company law, corporate matters, corporate governance, listing requirements and company secretarial practices.
4. Knowledge of company secretarial systems and database.
**Skills**:1. High integrity, impeccable reputation for trustworthiness and ability to maintain strict
confidentiality.
2. Good Interpersonal Skills.
3. Good Command of English / Bahasa Malaysia both verbal & written.
**Salary**: RM10,000.00 - RM15,000.00 per month

- Diploma/Advanced Diploma (preferred)
**Experience**:
- Secretary: 8 years (required)
- working in a public listed company: 2 years (required)

License/Certification:
- ICSA or MAICSA Certification (required)
Ability to Commute:
- Ipoh (required)
Ability to Relocate:
