Senior Manager, Legal

JOB PURPOSE

The Senior Manager, Legal will be responsible for providing legal support (drafting, reviewing, advising and negotiating) to the Company in the areas of corporate and projects. The corporate scope covers the day-to-day legal matters while the projects scope covers legal documentation such as Shareholders' Agreement, Power Purchase Agreements, EPC Contracts, Financing Agreements and other related documents. In addition to the above, there may be due diligence exercises where the legal scope will be covered by this role.

JOB ACCOUNTABILITIES / KEY RESULT AREA

1)
Legal Advisory & Corporate Support

• Provide expert legal advice and guidance to management and business units on corporate, commercial, and project-related matters.
• Support day-to-day corporate legal operations including governance, compliance, and company policy matters.
• Draft, review, and negotiate commercial contracts, partnership agreements, and other legal documentation.
• Identify potential legal risks and propose mitigation strategies.

2)
Project Legal Support

• Lead and manage the legal aspects of project development, implementation, and financing.
• Draft, review, advise and negotiate project-related agreements including:
• Shareholders' Agreements (SHA)
• Power Purchase Agreements (PPA)
• Engineering, Procurement & Construction (EPC) Contracts
• Operations & Maintenance (O&M) Contracts
• Financing and Security Agreements
• Liaise with internal stakeholders, external counsel, regulators, and project partners to ensure smooth project execution.

3)
Due Diligence & Transactional Support

• Conduct or coordinate legal due diligence for potential investments, mergers, acquisitions, or divestments.
• Review and analyze findings, identify risks, and provide actionable recommendations to management.
• Assist in structuring transactions to ensure compliance with laws, regulations, and contractual obligations.

4)
External Counsel Management

• To manage and support with the resolution of disputes and litigation matters as needed and manages relationships with external counsel
  to coordinate their work and ensure the company's legal needs are met.
• To liaise and manage relationships
  with
  internal and/or external legal advisers (i.e. lawyers) and other related third-party service providers in ensuring legal documents, agreements and files are according to statutory requirements, whilst meeting regulatory requirements and achieving business objectives.

5)
To conduct legal research and analysis
to support business decision-making and stay updated on new regulations and legislation, especially related to renewable technology and its related investments.

To work closely with internal team including Business Development, Development Division, Finance Division and other stakeholders
for legal clarifications, documentation, and approvals.

To support business growth
through providing compliance policies, and strategic and operational legal guidance to senior management.

MINIMUM ESSENTIAL QUALIFICATIONS & TECHNICAL COMPETENCES

• Bachelor's degree in law (LLB) or equivalent; admission to practice law in Malaysia (or relevant jurisdiction) is required.
• Minimum
  8–12 years
  of
  post-qualification experience in corporate and project legal work, preferably with exposure to renewable energy, infrastructure (highway/railway)
  , or large-scale project financing.
• Strong expertise in contract law, corporate law
  , project financing structures, and regulatory compliance.
• Proven experience in drafting and negotiating complex commercial agreements
  and managing cross-border transactions including the Power Purchase Agreements (PPA) and Contract Management (EPC).
• Familiarity with renewable energy regulatory frameworks, government policies, and industry practices.
• Excellent communication, analytical, and negotiation skills.
• Strong interpersonal and communication skills, with the ability to influence stakeholders at all levels.
• High degree of integrity, professional judgment, and commercial acumen.
