RESPONSIBILITIES:

  1. To facilitate the preparation of the Annual Report, including sourcing quotations from service providers for design and printing, coordinating internal and external timelines for drafting and finalization, as well as the distribution of the completed report to the Company's share registrar and shareholders.
  2. To prepare the necessary Board, Committee, and Shareholder resolutions required for obtaining the relevant approvals.
  3. To support the onboarding of new directors and ensure they are well-acquainted with the Company's governance framework—including its policies, code of ethics, fiduciary and statutory responsibilities, and best practices in corporate governance.
  4. To assist the Company Secretary in managing day-to-day company secretarial matters.
  5. To assist in drafting agendas, preparing meeting papers and notices in coordination with the Company Secretary.
  6. To assist in the preparation in the Annual General Meetings (AGM) or Extraordinary General Meetings (EGM) and to work with external service providers where required to ensure a well-planned proceeding. To source for quotations and to perform cost comparison for the best solution and manage the approvals and payment process.
  7. To maintain the company's compliance calendar, ensuring timely submission of documents such as annual returns, financial statements, and notices of changes.
  8. To maintain/update the records of statutory documents, including board resolutions, company seals, meeting minutes, statutory books and registers, including the register of members, directors, and secretaries.
  9. To attend to Auditors for performing Statutory Audit and assisting in checking the audited financial statements on information related to secretarial matters.
  10. To liaise with external advisors, such as legal counsel and auditors, to ensure compliance with statutory requirements.
  11. To provide administrative support to the Company Secretary, including managing calendars, drafting correspondence, and coordinating logistics for meetings.
  12. To support the Company Secretary in organizing training sessions for directors on corporate governance and regulatory updates.

EXPERIENCE / SKILLS REQUIRED:

  1. Bachelor's degree in Corporate Administration or any relevant field.
  2. 3 years' experience in a company secretarial role with experience handling secretarial matters for public listed companies in Malaysia.
  3. Familiarity with corporate governance principles and regulatory compliance.
  4. Strong attention to detail and excellent organizational skills.
  5. Effective communication and interpersonal abilities.
  6. Experience with MyCoID, MBRS and e-BOS for SSM online submission.
  7. Proficiency in using office software (Microsoft Office, document management systems, etc.).
  8. Strong multitasking skills and the ability to meet deadlines.
