Senior Legal Executive

Roles Overview:

We are seeking a proactive and detail-oriented Legal Executive with hands-on experience in Mergers & Acquisitions (M&A), corporate exercises, general legal support and AI-related legal matters.

This role combines the strategic responsibilities of corporate legal counsel with the operational expertise of a legal executive, including research, drafting, case preparation, client liaison and the emerging area of AI legal governance.

The successful candidate will support and manage legal aspects of transactions and corporate activities while providing day-to-day legal assistance to internal and external stakeholders and advising on AI-related compliance, data protection, and ethical use of emerging technologies.

Reporting Structure:

● This role directly report directly to the Head of Legal / Group Chief Operating Officer and collaborate closely with internal stakeholders (Finance, Strategy, Compliance, Operations) as well as external advisors, regulators, and clients.

Job Responsibilities:

Corporate & Transactional Work

● Draft, review, and negotiate legal documentation such as term sheets, Share Purchase Agreements (SPAs), Shareholders' Agreements, Investment Agreements, and commercial contracts.

● Conduct and coordinate legal due diligence, reviewing contracts, licenses, corporate records, and compliance matters.

● Support corporate exercises such as restructuring, capital reduction, share buyback, and other strategic actions.

● Ensure M&A and corporate activities comply with corporate, securities, competition, and foreign investment laws.

● Prepare Board Resolutions, shareholder circulars, and regulatory filings.

● Liaise with regulators (not limited to SSM, SC, Bursa Malaysia, etc.) for approvals and compliance.

● Manage external counsel in complex or cross-border transactions.

● Assist in post-acquisition integration of contracts, policies, and legal processes

Legal Research & Advisory

● Conduct legal research and provide advisory support on corporate, commercial, and regulatory laws (e.g., Companies Act, securities regulations, Listing Requirements).

● Monitor legal and regulatory developments that impact M&A, corporate, and operational activities.

● Provide guidance on compliance issues and recommend corrective actions.

AI Legal & Regulatory Compliance

● Advise on legal implications of AI adoption, including data protection, intellectual property, liability, and ethical concerns.

● Ensure compliance with relevant frameworks (not limited to Malaysia PDPA, EU AI Act, global AI standards).

● Draft/review AI-related agreements, including software licensing, SaaS contracts, and vendor/partnership contracts.

● Support the development of internal AI Governance Frameworks and ethical use guidelines.

● Conduct legal risk assessments for AI projects and advise on mitigation strategies.

● Collaborate with technology teams to ensure responsible AI deployment aligned with regulatory and corporate requirements.

Case & Client Support

● Draft, analyze, and interpret legal documents including contracts, wills, and filings.

● Interview clients and witnesses, advise them on legal issues, and liaise with external professionals such as auditors, banks, and accountants.

● Assist in preparing cases for court, including investigations, evidence management, and witness coordination.

● May represent clients in certain court matters under supervision.

● Maintain accurate legal files, manage transaction documentation, and oversee record-keeping.

Job Requirements:

● Bachelor's Degree in Law (LLB) from a reputable university.

● Professional qualification (e.g., CLP, Bar, Advocate & Solicitor of the High Court of Malaya) preferred.

● Minimum 3 years of working experience in corporate/M&A legal practice, with exposure to technology or AI-related legal issues as an advantage.

● Strong knowledge of corporate and commercial law; familiarity with data privacy, technology law, and AI regulations preferred.

● Excellent legal drafting, research, and negotiation skills.

● Strong communication, analytical, and stakeholder management abilities. ● High integrity, professionalism, and attention to detail.

● Willingness to travel and be based in Cyberjaya.

Added Advantage:

● Prior exposure to Artificial Intelligence, Technology related regulation, data protection, or Intellectual Property Law.

● Hands-on involvement in AI-related risk assessments or governance.

● Familiarity with international AI laws and ethical frameworks.

● Experience drafting Artificial Intelligence, Technology related commercial contracts.

● Ability to bridge legal, compliance, and technical teams effectively.

Job Type: Full-time

Pay: RM8, RM12,000.00 per month
