Job Purpose

  • To provide comprehensive legal and regulatory advisory support to Group, ensuring all business activities, transactions, and governance practices comply with applicable laws and internal frameworks. The role involves active involvement in contract review and structuring, dispute management, and supporting sound governance across the Group.

Key Responsibilities

A. Legal Counsel & Regulatory Advisory

  • Provide legal advice and opinions on corporate, commercial, and operational matters across Group.
  • Interpret and advise on relevant laws, regulations, and government policies impacting the Group's business and projects.
  • Support business units in navigating regulatory compliance requirements, licenses, and approvals.
  • Liaise with external legal counsel, regulatory bodies, and government agencies as required.
  • Conduct legal research and prepare reports or briefings for management decision-making.

B. Contract Review & Structuring

  • Draft, review, and negotiate a wide range of commercial contracts including development agreements, joint ventures, procurement, consultancy, and service contracts.
  • Ensure contractual terms protect the Group's legal and commercial interests while supporting business objectives.
  • Advise business teams on contract structuring and risk mitigation strategies.
  • Manage the contract database and monitor key contractual obligations and timelines.

C. Legal Dispute Resolution

  • Manage and coordinate legal disputes, including litigation, arbitration, or mediation involving the Group.
  • Liaise with external solicitors and monitor case progress and outcomes.
  • Review pleadings, correspondence, and settlement agreements to safeguard the Group's interests.
  • Provide strategic recommendations to minimize potential legal exposure and manage risks proactively.

D. Corporate Governance & Compliance

  • Support the implementation of good corporate governance practices across the Group and its subsidiaries.
  • Assist in preparing and reviewing Board and Committee papers, minutes, and resolutions.
  • Ensure compliance with Companies Act 2016, internal policies, and relevant regulatory requirements.
  • Maintain accurate corporate records, statutory registers, and governance documentation.
  • Collaborate with internal teams to promote a culture of integrity, ethics, and compliance.

E. Other Responsibilities

  • Keep abreast of changes in laws and regulations relevant to the Group's business operations.
  • Support internal initiatives or projects related to governance, legal risk management, or compliance.
  • Undertake any other tasks or projects as assigned by the management.
