Lead, strategies and manage the implementation of corporate secretarial and compliance services for the PETRONAS Group of Companies (PETRONAS Group) to protect and safeguard PETRONAS' interests, image and reputation.
Job Description:
Corporate Secretarial, Compliance & Audit Services
- Manage, supervise and coordinate the Secretarial and Compliance Audit exercise for PETRONAS Group by coordinating and developing the audit plans and strategies and ensure that all compliance requirements are followed in accordance with the Constitution and the relevant laws and regulations of the respective jurisdictions in which the companies are incorporated/operated to protect PETRONAS interest and reputation and to uphold good governance and best secretarial practices.
Corporate Secretarial & Board Governance Advisory Services
- Provide advice on Board Governance and best practices for PETRONAS Group, including developing and maintaining the governance structure, regulatory framework and Group positioning. Keep up with the latest updates and changes of the laws and regulations in Malaysia and other countries where PETRONAS Group operates to ensure good governance and best practices and protect PETRONAS' interest and reputation.
- Oversee the company secretarial services and practices for the PETRONAS Group that follow the Company's Constitution, laws and regulations by giving guidance to PETRONAS stakeholders according to the relevant legal and regulatory requirements. Ensure proper and consistent secretarial practices in the Group for Shareholders and Board meetings, including recording and communicating the meeting outcomes, to maintain and safeguard PETRONAS' image and reputation.
Special Projects and Business Improvement Initiatives
- Provide relevant information and documents for special projects and business initiatives (when needed) on company secretarial and governance matters. Give advice and recommendations that comply with laws, regulations, governance and best secretarial practices.
- Plan and coordinate the Board Governance & Secretarial Training Programs and work closely with key internal and external stakeholders in the PETRONAS Group to promote good governance and best secretarial practices among the board, management, company secretaries and others involved, by developing and enhancing their skills and competencies in PETRONAS board governance and secretarial matters.
Company Secretaryship & Custodian of Corporate and Statutory Documents
- Perform the role of Company Secretary for companies in the PETRONAS Group, which includes managing and overseeing proper storage of corporate information and statutory documents by maintaining and operating the relevant digital system, database and security protocols to ensure that the PETRONAS Group's corporate and statutory documents are current and projected to maintain and preserve the confidentiality and comply with the laws, rules and regulations.
Qualification :
- Institute of Chartered Secretaries and Administrators (ICSA) or Bachelor in Corporate Administration or Bachelor of Laws /LLB (Hons) from recognized universities/institutions.
- Malaysia Institute of Chartered Secretaries (MAICSA) qualification is an added advantage.
- Qualified to act as Company Secretary pursuant to Companies Act 2016.
Requirements:
- Minimum 10 years of working experience with at least 5 years working experience in legal, secretarial and/or compliance practice.
- Must possess a valid company secretarial license.
- Experience with public listed company is an added advantage.
