Ensures that the company complies with relevant laws and policies
- Contributes to formulate and develop legal strategies, plans and budgets for the legal department together with the Group CEO
- Provides internal legal advisory services to the Group, on all legal matters related but not limited to Joint Ventures, mergers and acquisitions, incorporation and registration of new companies (locally and internationally), internal reorganizations, fundraising and liquidation, expansion of business and to ensure that such corporate exercises are in line with applicable laws
- Assists the group on the review, drafting and negotiation of relevant contracts and agreements, including bid proposals submissions, distribution agreements with game publishers and distributors, merchant agreement, site user agreement and privacy policies, when necessary
- Maintains safe custody of legal documents including original share certificates
- Provides legal advice on risk management, relevant laws, rules and regulations, including but not limited to internal and external ethics and compliance obligations, all applicable Licensing Requirements and Bank Negara Malaysia’s Foreign Exchange Administration Rules
- Provides legal advice to HR on the review and drafting of employment contracts, general employment matters and internal policies and procedures, in compliance with applicable laws, rules and regulations.
- Acts as main liaison with external counsel on Group litigation matters and with external auditors on Group legal matters
- Ensures the understanding and compliance of the Group Code of Conduct and Business Ethics
- Provides advice and assistance on Group Corporate Secretarial matters including but not limited to the drafting of board resolutions, the transfer of shares, the changing of directors and the Group’s corporate structure
- Control the transparency and the relationship between company and other Governmental bodies to protect shareholders interest and ensure the full compliance with the law, if required
- Responsible for the overall corporate secretarial functions for the Group and its subsidiary companies (“Group”)
- Coordinate and arrange with the company secretary in preparing the information that relates to corporate secretarial matters
- Be the key point of contact between the Group and the company secretary.
- Liaise closely with the company secretary on corporate secretarial issues.
- Research on company secretarial issues, company legislation and all applicable local and international laws to the Group
- Assist in vetting of announcements or press releases in relation to transactions entered into by the Group and ensure it is in compliance with applicable laws and regulations and submitted within a reasonable time
- Liaise with various authorities such as Companies Commission of Malaysia, Inland Revenue and relevant authority bodies on corporate secretarial matters, if needed
- Compile the relevant corporate information for due diligence for corporate exercises undertaken by the Group
- Coordinate with the Group Finance Department on dividend payments, if any
- Assist in the preparation of the Group’s Annual Report - preparation of articles and write-ups in relation to corporate secretarial matters
- Keep updated and informed of the listing requirements of Companies Commission of Malaysia, to enable effective discharge of duties
- Carry out any other duties as assigned by the Group CEO from time to time

**; Requirements**:
- Degree in Law or similar relevant field
- Minimum of 5-8 years relevant professional experience
- Experience in trade, corporate/commercial, TMT, IP, data privacy, MandA, and/or consumer protection-related issues is preferred
- Experience in fast-evolving and dynamic industries, such as technology or e-commerce digital business
- Fluent in written and verbal communication skills for English, Bahasa Melayu and Mandarin, other languages will be an added advantage
