**Job Overview**:
The Secretary Executive provides high-level administrative support to executives or senior management, ensuring efficient office operations and the smooth handling of correspondence, scheduling, and various office functions.
This role requires a blend of exceptional organizational skills, discretion, and the ability to manage multiple tasks efficiently.
**Key Responsibilities**:
Company Registration: Assisting with the incorporation of new companies, ensuring all required documents are filed with SSM, such as the company’s memorandum and articles of association, forms, and other statutory documents.
Statutory Compliance: Ensuring that the company adheres to legal requirements under the Companies Act, such as filing annual returns, maintaining proper registers, and updating SSM with any changes in company details (e.g., directors, shareholders, or business addresses).
Shareholder and Director Meetings: Preparing and organizing board meetings and annual general meetings (AGMs), including drafting resolutions, taking minutes, and ensuring proper records are kept.
Corporate Governance: Providing advice on corporate governance best practices to ensure the company follows legal and regulatory standards, including the roles and responsibilities of directors and shareholders.
Filing with SSM: Submitting important documents to SSM, including financial statements, notices of change in directorship or shareholder details, and any changes to company structure or operations.
Liaison with Regulators: Acting as the main point of contact between the company and regulatory authorities such as SSM, ensuring smooth communication and timely submission of required documents.
Maintaining Statutory Registers: Keeping and updating the company’s statutory books, including registers of directors, shareholders, and charges, ensuring they are available for inspection as required by law.
Compliance Monitoring: Monitoring changes in company law and advising the company on necessary actions to maintain compliance with updated regulations.
**Qualifications**:
Education: High school diploma or equivalent; Associate’s degree or higher in Business Administration or a related field preferred.
Experience: Minimum of 1 year of experience in an administrative or executive support role, with a proven track record of supporting senior management.
Skills:Proficiency in office software (e.g., Microsoft Office Suite, Google Workspace).Strong organizational and multitasking abilities.Excellent written and verbal communication skills.Ability to handle confidential information with integrity.Effective problem-solving skills and attention to detail.
Working Conditions:Office-based role with standard working hours, although flexibility may be required for occasional after-hours work or travel.Fast-paced environment requiring the ability to manage stress and maintain a professional demeanor.
