About Our Client

Our client is a leading healthcare company. With the rapid growth of the business, they are expanding their operations and looking to hire more talents. The company is currently hiring a company secretary expert to help in managing important company meetings.

Job Description

As this role is essential to the organization, it is vital candidate comes with a track record of delivery and proven experience. Among the many responsibilities are listed below:

  • Assist the Head of Department in managing all aspects of daily operations of the secretarial function relating to the Companies Act and other relevant statutory compliance.
  • Responsible and accountable in preparing resolutions, notice, agenda of meetings, convene and attend Board, shareholders and board committee/management meetings and drafting of minutes.
  • Draft and review the requisite documentation relating to any corporate exercise.
  • Assist the Head of Department in advising the management and Board on matters pertaining to statutory requirements as prescribed under the various statues, in particular, the Companies Act, Main Market Listing Requirements of Bursa Securities Malaysia Berhad and other relevant laws and regulations.
  • Responsible for ensuring timely submission of statutory returns/documents with the Registrar of Companies and other relevant authorities.
  • Perform other related tasks as and when required/directed.

The Successful Applicant

The ideal Senior Manager will be confident in leading from the front and be responsible for the growth of the company while possessing the below requirements;

  • ICSA qualification and a member of MAICSA or Bachelor of Law / Law Degree with company secretarial experience.
  • A minimum of 10 years of work experience.
  • Able to work independently with minimum supervision and guidance.
  • Well-versed with the provisions of Companies Act, Listing Requirements of Bursa Malaysia Securities Berhad and other relevant laws and regulations.
  • Must have hand-on experience in preparation for and attending shareholders/board/management meetings, minute writing, drafting resolutions, announcements, reviewing agreement and other corporate secretarial and compliance works. Public listed companies experience - filings with SSM, Bursa Securities, Securities Commissions, etc.
  • Excellent proficiency in spoken and written English.
