Assistant Manager, Corporate Secretarial Services

**Key Responsibilities**:
**1. Client Service & Compliance**:
- Manage a portfolio of client engagements, ensuring compliance with the Companies Act 2016, SSM guidelines, and other relevant regulations.
- Prepare and maintain statutory records, including registers of members, directors, and secretaries.
- Organize and facilitate board meetings, annual general meetings (AGMs), and other shareholder meetings, including preparing agendas, notices, and minutes.
- Prepare and file statutory forms and documents with the Companies Commission of Malaysia (SSM).
- Provide advice to clients on routine corporate governance and company secretarial matters.
- Handle share transfers, allotments, and other corporate actions.
- Assist with company incorporations, liquidations, and striking-off.
- Liaise with clients to obtain necessary information and documentation, and address their inquiries.
**2. Supervision & Team Development**:
- Supervise, mentor, and coach junior staff members (e.g., Senior Associates, Associates).
- Delegate tasks effectively and monitor progress.
- Provide guidance and support to junior team members on technical and procedural matters.
- Assist in the on-the-job training of junior staff.
**3. Quality Control & Risk Management**:
- Ensure that all work is performed in accordance with the firm's quality control policies and procedures.
- Review work performed by junior staff members to ensure accuracy and compliance.
- Assist in implementing and maintaining internal controls to mitigate risks.
**4. Engagement Management**:
- Assist Managers and Senior Managers in planning and managing client engagements.
- Monitor engagement budgets and timelines.
- Prepare engagement letters and fee proposals.
- Manage time effectively and record billable hours accurately.
**5. Support to Senior Management**
- Provide support to the Senior Manager and/or Director in managing the operations of the Corporate Services department
- Assist in developing new service offerings within the corporate services area
**Key Skills & Qualifications**:
**1. Professional Qualifications**:
- Qualified Company Secretary with a valid practicing certificate from the Companies Commission of Malaysia (SSM).
- Membership with the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) is essential.
- A law degree (LL.B) or other relevant professional qualifications (e.g., CPA, CA) would be advantageous.
**2. Experience**:
- Minimum of 4-6 years of experience in company secretarial work within a reputable accounting firm, law firm, or corporate secretarial services provider.
- Proven experience in handling a portfolio of clients and performing a wide range of company secretarial tasks.
- Supervisory experience is highly desirable.
**3. Technical Skills**:
- Strong understanding of the Malaysian Companies Act 2016, SSM guidelines, and other relevant regulations.
- Familiarity with corporate governance principles and best practices.
- Proficiency in using company secretarial software and Microsoft Office Suite.
**4. Communication & Interpersonal**:
- Excellent communication and interpersonal skills, both written and verbal.
- Ability to communicate effectively with clients and colleagues at all levels.
- Ability to work independently and as part of a team.
**5. Other**:
- Strong attention to detail and accuracy.
- Good organizational and time management skills.
- Ability to work under pressure and meet tight deadlines.
