Senior Manager, Corporate SecretarialAcclime Malaysia is a premier provider of professional formation, accounting, Human Resource (HR) and advisory services in Malaysia. We focus on providing high quality outsourcing and consulting services to our international clients in Malaysia and throughout the region.
We are looking for a dedicated Senior Manager, Corporate Secretarial based in Kuala Lumpur to join our team in Malaysia. You will be responsible for managing corporate secretarial matters for both listed and non-listed companies, ensuring compliance with statutory and regulatory requirements.
Key Responsibilities:
- Manage a portfolio of clients, for both private limited and public-listed companies, inclusive of fee billing and collection.
- Advise clients on the Companies Act 2016, Listing Requirements and Malaysian Code on Corporate Governance.
- Prepare and review resolutions and documents for lodgement to the relevant authorities and ensuring compliance with submission deadlines.
- Oversee the daily operations of the team members and ensure all communications with clients are supported with proper documentation and responsibilities to meet deadlines.
- Liaise with Companies Commission of Malaysia, Bursa Malaysia, Securities Commission and other relevant authorities in connection with company secretarial matters.
- Attend meetings, such as Board meetings, General Meetings, and others as required, and prepare minutes of meetings.
- Ensure compliance with the Companies Act 2016 and any other regulatory requirements such as Bursa Malaysia's Listing Requirements.
Key Requirements:
- Qualified Chartered Secretary or LLB qualification with at least 4-5 years (Assistant Manager) / 5-7 years (Manager) / 8-10 years (Senior Manager) of relevant company secretarial experience in commercial companies or medium to large secretarial service providers (preferred).
- Knowledge of Listing Requirements, Companies Act, Capital Market and Securities Act, and other statutory requirements, securities and business rules and regulations that are related to corporate secretarial functions and experience in advising the Board members on governance, compliance, and best practices.
- Experience in providing services to both private limited and public-listed companies, and handling multinationals, regional offices, and branch offices.
- Ability to identify issues related to secretarial functions and suggest viable solutions.
- Able to work independently, lead a team, monitor junior staff, and provide guidance on corporate secretarial matters.
- Good interpersonal and communication skills.
- Experience in minutes writing with a strong command of the English language and business writing skills.
- Meticulous, detail-oriented, and deadline-oriented.
- Proficiency in MS Word and Excel.
