Company Secretary

Job Responsibilities:
- Assume the role of Company Secretary (when necessary)
- Incorporate and administer Malaysian companies (if required)
- Assist with administration for offshore companies
- Develop and maintain system, work processes and controls (including documented policies and procedures) for the corporate transactions as they relate or are required by inter-group entities or third parties e.g. Singapore companies
- Proper maintenance of client’s files and ensure the company’s corporate documents are saved/updated in the relevant database.
- Prepare, draft and review corporate secretarial related documents (eg, share transaction form, resolutions, annual return etc) from incorporation to liquidation.
- Assist in dispatch of notices and reminders to clients and collate the documentation for submission.
- Submit company information and documents to relevant authorities in a timely manner.
- Ensure AML obligations in respect of transactions are met including raising internal suspicious transactions reports if necessary.
- Assist other ad hoc tasks or projects from time to time.
- Ensure maintenance of the following as necessary:
- Corporate/Client Relationship Management Database
- Corporate Registers and records.
- Staff Training File
- Internal Suspicious Transaction Reporting (“ISTR”) file
- Monitoring client Accounting Records status and ensure the accounting records are uploaded in the relevant database.
- Liaise with external and internal auditors as required.
Requirements:
- Qualification Level: Diploma, Advanced Diploma, Bachelor’s Degree in Corporate Administration or other related field.
- Methodical and meticulous.
- Excellent planning, problem-solving, interpersonal skills and communication skills.
- Good command of English (both oral and written). Ability to understand and read traditional Mandarin characters is compulsory (for liaison with Taiwanese clients).
