**Key Responsibilities**:
The Company Secretary Manager is responsible for ensuring that the organization complies with all statutory and regulatory
requirements, managing board and shareholder meetings, and providing support on corporate governance matters. This role will also manage and supervise the corporate secretarial team, ensuring efficient and effective delivery of company secretarial services.
**1. Corporate Governance**:
- Ensure the company adheres to corporate governance best practices and complies with relevant laws and regulations, including the Companies Act and Bursa Malaysia Listing Requirements.
- Advise the board of directors and senior management on governance and compliance matters.
- Maintain statutory registers and records, such as the register of members, directors, and secretaries.
**2. Board and Committee Meetings**:
- Organize and prepare agendas, board papers, and minutes for board and committee meetings.
- Ensure timely distribution of materials to directors and stakeholders.
- Attend board meetings and general meetings, providing secretarial and advisory support.
**3. Statutory and Regulatory Compliance**:
- Ensure timely submission of statutory returns to the Companies Commission of Malaysia (SSM) and other relevant authorities.
- Oversee the preparation and filing of necessary documents, such as annual returns, financial statements, and change of directors or shareholders.
- Keep up-to-date with legislative changes and advise the company on any implications.
**4. Shareholder Communication**:
- Manage shareholder relations, including handling inquiries, distributing notices, and coordinating general meetings.
- Liaise with shareholders, regulatory bodies, and other stakeholders as necessary.
**5. Corporate Transactions**:
- Provide support during mergers, acquisitions, restructuring, and other corporate transactions.
- Ensure all required documents and resolutions are prepared and filed in accordance with legal requirements.
**6. Leadership and Team Management**:
- Lead, manage, and mentor the company secretarial team.
- Ensure continuous professional development within the team.
**7. Policy and Procedure Development**:
- Develop, review, and update company secretarial policies and procedures to align with best practices and legal requirements.
- Implement effective corporate governance policies across the company and its subsidiaries.
**Requirements**:
- A min. 5-7 years of experience in company secretarial roles, with at least 3 years in a managerial position.
- Strong understanding of the Companies Act, corporate governance, and compliance frameworks is a MUST.
- Excellent communication, interpersonal, and organizational skills.
- Strong leadership and team management capabilities.
- Attention to detail and the ability to handle confidential matters with discretion.
- Proficiency in relevant software for company secretarial duties.
