Company Secretary

Act as the named **Company Secretary **for local and foreign companies under the Group and _**provide corporate secretarial support **_to these companies as well as to service providers for foreign companies under the Group.
**Responsibilities**:
- Provide guidance/advice to the Boards/Management in matters of good governance and changes in legislation to ensure Board procedures are followed and applicable rules and regulations are complied with.
- Supervise, organize, and ensure proper conduct of meetings (Board/Board Committee/shareholder), recording of minutes, and follow-up on action points/matters arising thereof.
- Ensure statutory obligations under any governing documents, company law, and any relevant legislations or regulations are met, including continuous disclosure for compliance purposes.
- Ensure proper and timely filing of statutory documents and financial statements with the
- relevant authorities.
- Work with the corporate administrator of companies in various foreign jurisdictions to ensure that the relevant regulatory/legislation requirements are met.
- Review draft documents prepared by direct reports before finalizing for circulation/ approval/ signature.
- Assist HOD in planning/implementing procedural and administrative systems to ensure efficient administration of Group Secretarial Department (GSD) and corporate initiatives of GSD.
- Lead and motivate team members to develop and improve their technical competency as well as soft skills.
- Undertake ad-hoc corporate/restructuring exercises.
**Job Qualifications/ Skills**:
- **SSM Practicing Certificate, MAICSA qualified, and with LLB**:
- At least 10 years of experience in corporate secretarial practice and/or legal background
- An Associate member of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) with a License granted by the Companies Commission of Malaysia to act as named Secretary.
- Well versed in secretarial practice and procedures.
- Conversant with the Companies Act 2016, corporate governance practice, Bursa Malaysia Listing Requirements (not mandatory), and other relevant regulatory laws, regulations, and guidelines in connection with company secretarial matters.
- Keep abreast/aware of the developments/changes of new and existing reporting and other requirements imposed by the statute under which the companies are incorporated.
- Good communication skills, both written and spoken in English and Bahasa Malaysia.
- Good interpersonal skills with the ability to engage with stakeholders at all levels.
**Salary**: RM18,000.00 - RM20,000.00 per month
