Job Description:

We are seeking a highly skilled and experienced Company Secretarial Manager to join our team at Labuan Reinsurance (L) Ltd.

About the Role:

The successful candidate will be responsible for providing secretarial services, managing day-to-day operations, and ensuring compliance with statutory requirements and regulations. You will work closely with internal and external stakeholders to convene meetings, draft minutes, and circulate resolutions.

Key Responsibilities:

  • Act as an Alternate Secretary of the Company
  • Liaise with the Resident Secretary on all Company's secretarial related matters
  • Assist the Shariah Officer when necessary on Shariah Supervisory Council matters relating to Company's secretarial request
  • Organise the full spectrum of Board, Board Committee (BC)s and Shariah Supervisory Council (SSC) meetings
  • Attend and take minutes of the Board, BCs and SSC meetings
  • Raise and circulate the follow-up actions of the Board, BCs and SSC meetings to the Head of Department (HOD)s
  • Draft, review and circulate the minutes of the Board, BCs meetings to the relevant HODs and Directors
  • Finalise and circulate the resolutions of the Board, BCs and SSC to the members for recommendation/approval
  • Prepare the extract minutes of the Board, BCs, and SSC meetings, as and when requested
  • Ensure all SOPs of the Secretarial Division are up-to-date
  • Coordinate with internal and external stakeholders on the convening of meetings
  • Assist in providing advice on compliance matters with regards to statutory requirements and regulations, where relevant
  • Provide timely advice on all company secretarial matters and verify all information about the Company's statutory status
  • Review legal documents and provide advice/opinion on the commercial aspects based on the input provided by the relevant stakeholders

Requirements:

To succeed in this role, you will require:

  • Bachelor Degree Accountancy/ Business Administration/ Law (LLB), ICSA or equivalent
  • Have a minimum of 5 years relevant working experience in the related function
